1. Acceptance of Terms

By accessing or using Route42 ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must discontinue use immediately. These terms constitute a legally binding agreement between you ("User") and Krugis OÜ ("Company," "we," "us," or "our").

2. Description of Service

Platform: Route42 is a Windows desktop application. You must have Windows 10 (version 1809 or later) or Windows 11 to use the Service.

Route42 is an intelligent routing platform that analyzes prompts and directs them to appropriate Large Language Models (LLMs), whether hosted locally on your hardware or via third-party cloud providers (including but not limited to OpenAI, Anthropic, Google, Meta, Cohere, and others).

The Company provides:

• • Routing infrastructure and API gateway services
• • Machine learning models for prompt complexity analysis
• • Model recommendation algorithms
• • User authentication and account management
• • Integration with local LLM providers (Ollama, LM Studio, etc.)

IMPORTANT: We do not create, train, own, or control the underlying LLMs that generate responses. We are a routing service, not an LLM provider.

Local Processing for Personalization: All personalization and training features (Pro tier) happen entirely on YOUR local Windows machine. No training data is uploaded to our servers or the cloud. Your behavioral learning data stays on your device and is used only to improve your personal routing preferences locally.

3. LLM Selection and Routing Disclaimer

• • No Guarantee of Optimal Selection: Model routing decisions may not always match your expectations or requirements. Different models have varying capabilities, limitations, and output quality.
• • Automated Decision-Making: Routing is performed by algorithms without human review. The system cannot understand context beyond prompt analysis.
• • Model Variability: Local models may produce significantly different results than cloud models for identical prompts.
• • Algorithm Changes: Our routing algorithms are continuously improved, which may result in different model selections over time.
• • Manual Override Available: You may configure routing preferences, but automated routing is the default and recommended behavior.
• • No Service-Level Agreement (SLA): We do not guarantee routing accuracy, response quality, or uptime.

4. AI Output Disclaimer and Limitations

You acknowledge and agree that:

• • Inaccuracy and Hallucinations: AI models frequently produce false, misleading, or nonsensical information presented as fact ("hallucinations"). Outputs may be completely fabricated.
• • Bias and Discrimination: AI models may exhibit biases related to race, gender, religion, nationality, political views, and other protected characteristics.
• • Offensive Content: Outputs may contain profanity, hate speech, violent content, or sexually explicit material despite content filtering.
• • Code Vulnerabilities: AI-generated code may contain security vulnerabilities, bugs, license violations, or inefficient implementations.
• • Professional Advice: AI outputs do not constitute professional medical, legal, financial, or tax advice. Consult qualified professionals for such matters.
• • Intellectual Property Risks: AI-generated content may infringe on third-party copyrights, trademarks, or patents. You are responsible for ensuring lawful use.
• • Outdated Information: AI models have knowledge cutoff dates and may not reflect current events, laws, or best practices.
• • Refusal to Respond: Models may refuse certain requests, produce error messages, or exhibit unexpected behavior.
• • Context Limitations: AI models have limited context windows and may lose track of conversation history.

YOU ASSUME ALL RISKS associated with using AI-generated content for any purpose. Always verify critical information through authoritative sources.

5. Limitation of Liability

This includes, but is not limited to, liability for:

• • Direct Damages: Financial losses, data loss, business interruption, lost profits
• • Indirect Damages: Consequential, incidental, special, or punitive damages
• • AI Output Harms: Inaccurate information, harmful advice, offensive content, or hallucinations
• • Routing Decisions: Model selection choices made by our algorithms
• • Third-Party Actions: Actions or omissions of LLM providers, payment processors, or other third parties
• • Service Failures: Downtime, errors, bugs, security breaches, or data loss
• • Reliance on AI: Any decisions made or actions taken based on AI-generated content
• • Intellectual Property Claims: Copyright, trademark, or patent infringement arising from AI outputs
• • Regulatory Violations: Violations of laws, regulations, or industry standards
• • Reputational Harm: Damage to reputation, goodwill, or relationships

Aggregate Liability Cap: Our total liability for all claims, regardless of legal theory, shall not exceed the lesser of (a) the amount you paid to us in the 12 months preceding the claim, or (b) €100.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

6. Third-Party LLM Providers

When Route42 routes your requests to cloud LLM providers, you acknowledge that:

• • Third-Party Terms Apply: Your use is subject to the provider's terms of service, acceptable use policy, and privacy policy
• • Data Processing: Providers may use your prompts for training, monitoring, or other purposes per their policies
• • No Control: We cannot control provider availability, quality, pricing, or security practices
• • Compliance Responsibility: You are responsible for ensuring compliance with all provider terms
• • Provider Changes: Providers may modify terms, increase prices, or discontinue service without notice
• • Content Filtering: Providers may filter or refuse certain requests based on their content policies
• • API Key Requirements: You must provide valid API keys and maintain adequate credits/billing with providers

6.5 Windows-Specific Terms

As a Windows desktop application, you acknowledge that:

• • System Requirements: You must maintain compatible Windows OS (10 version 1809+ or Windows 11)
• • Administrator Privileges: Installation may require administrator rights
• • Windows Updates: You are responsible for keeping your Windows OS updated for security and compatibility
• • Antivirus Compatibility: Some antivirus software may flag network communications; you may need to whitelist Route42
• • Firewall Configuration: You may need to configure Windows Firewall to allow Route42 to communicate with local LLMs and cloud providers
• • Local Data Storage: Application data, cache, and personalization models are stored locally on your Windows machine
• • Uninstallation: Uninstalling Route42 will remove application files but may retain configuration in AppData unless manually deleted

Third-Party Windows Software: Route42 integrates with third-party Windows applications (Ollama, LM Studio, etc.). You are responsible for compliance with their respective licenses and terms.

7. User Responsibilities and Acceptable Use

7.1 Prohibited Activities: You agree NOT to use Route42 to:

• • Generate illegal content (child abuse material, terrorism, human trafficking, etc.)
• • Create malware, viruses, ransomware, or other harmful software
• • Conduct phishing, fraud, identity theft, or financial scams
• • Harass, threaten, stalk, or incite violence against individuals or groups
• • Violate intellectual property rights (copyright infringement, trademark violations)
• • Bypass security measures, rate limits, or content filters of any service
• • Scrape, data mine, or extract training data from AI models
• • Reverse engineer, decompile, or attempt to extract our proprietary algorithms
• • Share API keys, credentials, or accounts with unauthorized parties
• • Conduct automated abuse, spam campaigns, or denial-of-service attacks
• • Impersonate individuals, organizations, or misrepresent affiliations
• • Generate deceptive content (deepfakes, misinformation, fake news)
• • Violate privacy rights by processing personal data without consent

Route42's model selection and routing algorithms constitute valuable trade secrets and proprietary intellectual property. You are expressly prohibited from:

• • Model Distillation: Using the Service to systematically probe, record, or analyze routing decisions to replicate, approximate, or derive our model selection logic
• • Adversarial Probing: Submitting scripted, automated, or structured queries designed to reverse-engineer the relationship between prompt characteristics and model selection outcomes
• • Competitive Intelligence Extraction: Using insights gained from Route42's routing behavior to create, train, or improve a competing LLM routing service or recommendation engine
• • Benchmarking for Reproduction: Collecting routing outputs for the purpose of building lookup tables, decision trees, or machine learning models that replicate our routing heuristics
• • API Intermediation: Using Route42 as a backend, middleware, or intermediate API for another commercial product or service without an Enterprise license agreement

Detection and Enforcement: We employ monitoring systems to detect patterns consistent with distillation or adversarial probing. Violations may result in immediate account termination, legal action, and claims for damages including disgorgement of profits derived from misappropriated trade secrets.

7.3 Enforcement: We reserve the right to suspend or terminate accounts that violate these terms, without prior notice, refund, or liability.

8. Service Availability and Rate Limits

• Uptime: We strive for high availability but do not guarantee uninterrupted service. Scheduled maintenance will be announced when possible.

• Rate Limits: Free tier: 100 requests/day. Pro tier: 1,000 requests/minute. Burst limits may apply.

• Service Modifications: We may modify features, deprecate APIs, or discontinue service with 30 days notice.

• Downtime: No compensation is provided for service interruptions, regardless of duration or cause.

9. Payments and Subscriptions

• Pricing: Pro subscription: $4.20 USD/month, billed via Stripe.

• Billing Cycle: Monthly recurring charges. First charge upon signup, subsequent charges on the same day each month.

• No Refunds: All fees are non-refundable. No free trials, prorated refunds, or credits for unused time.

• Cancellation: You may cancel your Pro subscription at any time from your account profile. Cancellation takes effect at the end of the current billing period ("cancel at period end"). Upon cancellation:

• • You retain full Pro access (API key, training endpoints, higher rate limits) until the end of your current billing period.
• • No further charges will be made after the current period ends.
• • After the billing period ends, your account automatically reverts to the Free plan.
• • You may reactivate your subscription at any time before the billing period ends to continue uninterrupted Pro access.
• • Your API key will remain associated with your account but will no longer function for Pro-tier endpoints after downgrade.

• Price Changes: We may increase prices with 30 days email notice. Continued use constitutes acceptance.

• Payment Failures: If payment fails, we may suspend service immediately. Accounts inactive for 90 days may be deleted.

• Taxes: Prices exclude VAT, sales tax, and other applicable taxes. You are responsible for all taxes.

10. Intellectual Property

• Our IP: Route42's software, algorithms, routing heuristics, model selection weights, complexity detection models, logos, trademarks, and documentation are owned by Krugis OÜ and constitute valuable trade secrets. All rights reserved.

• License Grant: We grant you a limited, non-exclusive, non-transferable, revocable license to use Route42 subject to these terms. This license does not include any right to access, examine, or derive our proprietary algorithms or routing logic.

• Your Inputs: You retain ownership of prompts and inputs submitted to Route42.

• AI Outputs: Ownership of AI-generated content is complex and varies by jurisdiction and LLM provider. Consult legal counsel if asserting ownership or commercial use rights.

• No Warranty of Non-Infringement: We do not warrant that AI outputs are free from third-party intellectual property rights.

10.1 Feedback Ownership

Any suggestions, feedback, ideas, feature requests, bug reports, or other input you provide regarding Route42 ("Feedback") shall become the sole and exclusive property of Krugis OÜ. By submitting Feedback, you irrevocably assign to the Company all right, title, and interest in such Feedback, including all intellectual property rights therein. The Company shall be free to use, implement, modify, commercialize, or disclose such Feedback for any purpose without compensation, attribution, or further obligation to you. You waive any "moral rights" or equivalent rights in Feedback to the extent permitted by law.

11. Data Retention and Account Deletion

• Retention Period: Metadata retained for 90 days, then anonymized. Account data retained while active.

• Account Deletion: You may delete your account at any time. Personal data deleted within 30 days.

• Legal Holds: We may retain data longer if required by law or for legal proceedings.

• Backup Retention: Deleted data may persist in backups for up to 90 days.

12. Indemnification

You agree to indemnify, defend, and hold harmless Krugis OÜ from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• • Your use or misuse of Route42
• • Your violation of these Terms or applicable laws
• • Your violation of third-party rights (including intellectual property rights)
• • Content you submit or AI outputs you generate

13. Modifications to Terms

We may update these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use after changes constitutes acceptance. If you do not agree to modified terms, you must stop using the Service and cancel your subscription.

14. Termination

• By You: You may cancel your Pro subscription at any time from your account profile. Access continues until the end of the current billing period. You may also delete your account entirely, which is immediate and permanent.

• Reactivation: If you cancel your subscription, you may reactivate it at any time before the billing period ends. After the period ends, you may re-subscribe by purchasing a new Pro subscription.

• By Us: We may suspend or terminate your account immediately for violations, non-payment, or at our discretion.

• Effect of Termination: Upon termination, your license to use Route42 ends. No refunds provided. Your plan will revert to Free and Pro-tier features will be disabled.

15. Governing Law and Dispute Resolution

• Governing Law: These Terms are governed by the laws of the Republic of Estonia, without regard to conflict of law principles.

• Jurisdiction: Any disputes shall be resolved exclusively in the courts of Tallinn, Estonia.

• Arbitration: For claims under €10,000, either party may elect binding arbitration under Estonian arbitration rules.

• Class Action Waiver: You agree to resolve disputes individually, not as part of a class action.

16. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.

17. DMCA and Copyright Policy

Krugis OÜ respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA) and equivalent international frameworks.

17.1 Copyright Infringement Claims: If you believe content generated through Route42 infringes your copyright, submit a DMCA takedown notice to dmca@krugis.com including:

• • Identification of the copyrighted work claimed to be infringed
• • Description of the allegedly infringing material and its location
• • Your contact information (name, address, email, phone)
• • A statement of good faith belief that the use is not authorized
• • A statement under penalty of perjury that the information is accurate
• • Your physical or electronic signature

17.2 User Responsibility: You are solely responsible for ensuring that your use of AI-generated content does not infringe third-party intellectual property rights. Route42 does not pre-screen AI outputs for potential infringement.

17.3 Counter-Notification: If you believe material was removed in error, you may submit a counter-notification per DMCA Section 512(g).

17.4 Repeat Infringers: We reserve the right to terminate accounts of users who are repeat infringers.

18. Entire Agreement

These Terms, together with our Privacy Policy and the End User License Agreement (EULA) presented during installation (which incorporates these web terms by reference), constitute the entire agreement between you and Krugis OÜ regarding Route42.
